Article 1 – Scope

The following terms and conditions control the offering and selling of products at BrandsGateway.com, under the partnership of certified partners with Gateway Holdings ÖU.

Items purchased on this website are qualified directly by BrandsGateway.

Customers must ensure that they read the information concerning rules of the Legislative Decree 196/2003 ‘’ THE PROTECTION OF PERSONAL INFORMATION CODE'', and in turn agree to the processing of personal data before proceeding with any purchases.

Article 2 – General conditions of sale acceptance

Customers should review the general conditions of sale and privacy policies on the given website before making any purchases. If a customer proceeds with a purchase, it is assumed that they have indeed given full acknowledgement and agreement to such policies, and without such acceptance, purchases should not be made.

Through purchasing a product or products, customers are accepting the general terms and conditions of the sale, including the payment, as well as reading in full the privacy policy. The customer will have given clear consent for the processing of personal information and agrees to comply with any stipulated agreements, including the payment method.

Products offered on BrandsGateway's website are done so exclusively by BrandsGateway to persons of or over the age of 18, and who are legally competent to enter into such a binding contract. It is Brandgateway’s prerogative to not process any orders from individuals who fail to meet such criteria. For our Dropship clients, all marketplaces are accepted to re-sell our inventory.

Article 3 - How to purchase

Any purchase of products completed by customers is done so in coordination with what is displayed and described on the website, including the indicated price and additional taxes and fees, which may vary depending on location. Additional costs include the cost of shipping, all of which will be shown at the moment of purchase.

All product prices listed on BrandsGateway are exclusive of VAT (ex-VAT). To avoid being charged VAT, please ensure that a valid VAT number is added to your BrandsGateway account. Please note that if the shipping address is within the same country as the product's origin, VAT will be applied in accordance with local tax regulations, even for B2B transactions.

The number of units available will determine the availability of items, and BrandsGateway cannot guarantee the delivery of products ordered. BrandsGateway will provide customers with the option of reserving products where possible and will communicate fully concerning delivery time (which may sometimes take longer than usual) with the customer either by email or telephone.

Before completing any purchase, the customer will always be made aware of the specific unit cost of each product selected, as well as the total number ordered (if more than one) and any delivery charge.

Having completed their purchase, customers will receive an email confirmation of their order, with BrandsGateway stating that it has been received, as well as providing a unique order number. After this, customers will receive a second email, this time confirming the acceptance of any such order, including the delivery of products to the stated address and estimated delivery date. This information provides clients with the opportunity to check relevant information, and if necessary report and/or request further information at [email protected]

Customers will be able to check the status of the order in the customer area.

Orders will have one of the following statuses:

PROCESSING: Order has been made by the Customer and their payment has been verified. Orders will be automatically canceled by the international banking system should no authorization be received.

ON HOLD: BrandsGateway has received the order, but is waiting for payment confirmation from the customer.

COMPLETED: Purchased goods have a tracking number.


Article 4 – Methods of Payment

Customers may choose from the following payment methods for purchases made on BrandsGateway:

4.1 Credit Card

Payments by credit card must be made at the time of submitting the purchase order.

The card’s validity and available funds will be verified during the order process by the issuing provider.

If authorization is not received, the order will be automatically canceled.

BrandsGateway will not be liable for any delays or failed deliveries caused by a rejected payment.

4.2 PayPal

If PayPal is selected, customers will be redirected to the PayPal login page to complete payment.

The purchase amount is charged to the PayPal account immediately upon order.

In the event of cancellation or non-acceptance by BrandsGateway, the amount will be refunded to the same PayPal account. BrandsGateway will not be liable for any damages, direct or indirect, resulting from delays in PayPal releasing the committed funds.

BrandsGateway reserves the right to cancel or suspend orders if PayPal notifies us of errors, irregularities, or suspected fraud. In such cases, BrandsGateway may request additional documents from the customer, including proof of card or account ownership, before proceeding with the order.

4.3 Bank Transfer

Payment by bank transfer must be received in full before the order is processed.

Customers are responsible for any bank fees or transfer costs unless otherwise agreed in writing.

In the event of a refund by bank transfer, all transfer costs and bank fees shall be borne by the recipient.

4.4 Wallet Payments

Customers may pre-fund their BrandsGateway Wallet by bank transfer.

The minimum top-up amount is €500. Customers may add funds as often as they wish, provided the minimum transfer requirement is met.

Wallet funds may be used as a payment method at checkout.

Wallet balances are non-refundable and cannot be withdrawn, transferred, or converted into cash.
Wallet funds must be used within the same calendar year in which they are deposited. At year-end, unused balances will expire and cannot be carried forward, subject to applicable law. Customers may make new transfers at the start of the following year.

4.5 Payment Security and Additional Provisions

Product prices are subject to change, but confirmed orders will not be affected once placed. BrandsGateway reserves the right to cancel any order if the payment method is invalid, incomplete, or suspected of fraudulent activity. Furthermore, BrandsGateway will not be held responsible for any fraudulent or illegal use of credit cards which may potentially occur during the transaction of a purchase.
All customer financial data (e.g., credit card numbers) is transmitted securely through third-party payment providers. BrandsGateway does not store or process such data directly.
A transaction fee of 2.5% applies to all orders paid via PayPal. Payments made by bank transfer or through the Wallet are excluded from this fee.

For security reasons, payment data is transmitted exclusively through secure third-party providers and is not stored by BrandsGateway. Customers are responsible for ensuring they use secure internet connections and updated browsers when completing a purchase.

Article 5 – Delivery

All BrandsGateway vendors deliver worldwide through our freight partners: UPS, DHL, FedEx, and the Postal Service. The average delivery time within Europe is 3–5 business days. For destinations outside Europe, such as North America and Asia, delivery usually takes 5–10 business days.

Please note that both transit times and the ability to deliver may be affected by events of force majeure, including but not limited to natural disasters, wars, armed conflicts, acts of terrorism, strikes, pandemics, government restrictions, or other circumstances beyond our reasonable control. In such cases, BrandsGateway reserves the right to suspend or cancel delivery until conditions allow for safe and lawful shipment.

Invoices for orders delivered by couriers are available to both download and print online from the customer’s individual account area. Once such information has been issued, no changes can be generated.

All vendors offer worldwide shipping with fees starting from €21 / $23 per individual warehouse order. Shipping costs are calculated per order and consist of a base fee (economy or express) plus an additional charge per item, which varies depending on the product category.

For stocklot orders benefiting from additional discounts, shipping costs and delivery times are subject to individual confirmation. In such cases, a BrandsGateway customer service representative will contact the customer directly to provide the applicable rates, shipping arrangements, and estimated delivery schedule.

All packages are insured against loss only.

In the event that a parcel is confirmed as lost by the carrier, BrandsGateway will initiate a claim with the shipping provider and, upon approval, will either reship the order at no additional cost or issue a refund.

Insurance does not cover damage to goods, delays in transit, or other circumstances outside our control.

Products are dispatched from BrandsGateway partners within 1-3 business days after the payment for the order has been received and are always subject to checking the regularity of the payment before carrying it out. In the case of orders with payments in advance other than bank transfer and where BrandsGateway has a report of anomalies, such as the mismatch of the name of the person registered and the holder of the credit card, the goods are delivered within 7 working days from when it has been checked for regularity of the payment, or at least from the end of the tests that will be necessary to verify the regularity of payment. In the unlikely event that a product has not been delivered after 10 working days following the order confirmation, customers should send a direct email to [email protected] with the subject line "non-delivery", while also stating the order number as well as any other additional information. Having received the email, BrandsGateway will contact the customer within 2 working days in order to resolve the problem, or in some cases offer an explanation for the non-fulfillment of orders.

In the event that a package is unclaimed and subsequently returned to the vendor, the buyer shall be responsible for all return shipping costs as well as any applicable customs charges. These fees will be invoiced separately, and refunds for the original order will only be processed once such fees have been paid in full.

The same provisions shall apply in cases where a package is returned due to incorrect or incomplete shipping information provided by the buyer, including but not limited to errors in the recipient’s name or address.

Customs operations are handled by BrandsGateway in cooperation with the customs agency of the selected freight provider. For shipments outside the EU, all additional customs duties, taxes, and clearance fees shall be borne by the buyer. BrandsGateway will provide any necessary documentation required to facilitate customs clearance.

Article 6 – Refunds and Returns

Dropshippers’ orders:


6.1 – Refunds and Returns - Dropshipping

Return Policy Duration: Our return policy lasts for 14 days, starting from the day the package is delivered to your customer. Please initiate any return requests within this timeframe to ensure smooth processing. Once the return request is approved, the returned item(s) must be received by us within the following 14 days.

Late Returns: Returns shipped back after the 14-day return period will be rejected. In such cases, the dropshipper shall be responsible for covering the cost of the return label and shipping back to the original dispatch address or to an alternative address provided by the dropshipper.

Defective or Wrong Items: If you encounter any defective or incorrectly shipped items, please submit a request through the Returns Portal located in the Orders section of your dropshipper dashboard. A return label will be provided only after BrandsGateway has confirmed that the item was shipped in a defective condition or was incorrectly dispatched, and that the issue was not caused by customer misuse, normal wear and tear, or damage occurring after delivery.

Warranty: We provide a one-year warranty only on the product category watches. This warranty covers defects in materials and workmanship related to the internal mechanism of the watch. The warranty is valid for one year from the date of purchase. Please note that the warranty does not cover: 1) damage caused by water exposure, misuse, or accidents, and 2) any issues arising from improper handling or failure to follow care instructions. All warranty claims are subject to investigation to determine the cause of the issue. If the issue is found to be caused by misuse or external factors, the warranty will be voided.

Pre-owned Items: Please be aware that we do not accept returns for items listed as Pre-Owned on our platform. Each item's description clearly indicates its pre-owned status. We encourage customers to review product details thoroughly before making a purchase.

Preloved items: Preloved items are not eligible for returns or refunds. The EU 14-day consumer rights rule applies only to new, non-preowned products. Therefore, items that have been previously sold, are preloved, or are offered as defective are exempt from this policy.

Customer Dissatisfaction Returns: Returns due to customer dissatisfaction should be shipped back at the customer's expense and with an active tracking number. Please use reliable carriers such as UPS, DHL, or FedEx. We do not accept returns shipped via local Postal Services due to long delivery times, and any such packages will be rejected.

Customs Charges: For returns with customs charges, the buyer will be responsible for covering those costs. If a customer's return includes customs charges, these must be paid first before we can proceed with the refund of the returned item/s. To expedite the refund process, we recommend selecting the option of the sender paying for all customs duties.

Return Conditions: All returns must be in perfect original condition, including any original attachments such as tags, boxes, or dustbags, along with the original packaging. We reserve the right to refuse returns if the products have been worn, washed, or have any traces of use.

Declined Returns: In the event of declined returns, the order will be shipped back to the buyer, and any additional shipping charges will be borne by them.

Conditional Return Policy: Please note that all returns are subject to a quality inspection upon return arrival. If we decline the return due to damages or other reasons and do not receive your instructions on how to proceed within 30 days—whether to return the item to your customer or to your business address—we reserve the right to deny issuing a refund for that return.

Refunds on Wallet Funds: Please note that the funds balance in your wallet is non-refundable. It cannot be withdrawn or converted into cash under any circumstances.

Refunds for Canceled Orders: If an order is placed, paid for, and then canceled before shipment, a full refund will be provided without deducting transaction fees.

Refund Process: Approved refunds will be issued via the original payment method within 5 business days of receiving and approving the returned items.

Reporting missing packages: In the rare cases of your customers not receiving a package, claims must be submitted no later than 14 days from the shipment date.

Dropshipping Subscriptions:

No Refunds for Subscriptions: Once payment has been processed for any dropship subscription package, no refunds will be offered.

For using the BrandsGateway Woocommerce, Shift4shop & Bigcommerce app, payments will be processed in recurring installments through BrandsGateway. In the event that you wish to cancel the service and subscription, please follow these steps: first, ensure that all products from the BrandsGateway app are removed from your store. Next, unsubscribe through the BrandsGateway app, and finally, delete/uninstall the application from your store.

Cancellations must be made by the subscribers, and any automatic renewals are non-refundable.

No Free Trials: We do not provide free trials for any of our dropship subscriptions. By accepting our terms & agreements, subscribers waive their right of retraction.

6.2 – Refunds and Returns - Retail & Online Bulk Buyers

Bulk Buyers: We offer a 7-day return policy for defects and wrong-shipped products, from the day the package is delivered to you. 

For defective or incorrect items (e.g. wrong item received), the buyer must submit a Return Request within 7 days of delivery. The request must include the order number and photographic evidence of the defect or error.

BrandsGateway will review the request and respond within 5 working days. If approved, a return label will be issued to return the item to us.

The cost of return shipment for defective or incorrect items (e.g. wrong item received) will be borne by BrandsGateway. Which you will receive a tracking label to print and paste on the package.

Pre-owned Items: Please be aware that we do not accept returns for items listed as Pre-Owned on our platform. Each item's description clearly indicates its pre-owned status. We encourage customers to review product details thoroughly before making a purchase.

We have the right to refuse returns if the products have been worn or washed and with a used scent. For declined returns, the order will be shipped to the buyer and any additional shipping charges will be invoiced. 

Any agreed refunds will be made by bank transfer or by PayPal within 5 business days of received and approved returns.

Refunds for Canceled Orders: If an order is placed, paid for, and then canceled before shipment, a full refund will be provided without deducting transaction fees.

Article 7 - Privacy Policy

BrandsGateway will be the “owner” of customers’ data and all the information concerning the use of their personal data is summarised in the privacy document, in accordance with the Protection of Personal Information legislation. Customers must, therefore, accept such a policy before proceeding with any purchases, with a particular focus on the following areas:

Purposes of data processing. Commercial, promotional, and/or sales purposes to identify potential customers for each specific product or service (eg, statistics, customer satisfaction feedback, the preliminary gathering of information aimed at reaching an agreement or provision of a service, etc.); Customer satisfaction research (eg research on the quality of services); Fulfillment of obligations under the law, regulations or legislation.

Data communication. The personal data collected by Gateway Holdings ÖU will be communicated and/or processed by people we trust, who, in pursuit of the above objectives, carry out operational, technical, and organizational tasks. The personal data provided by Customers are used only to perform the job or related services; the data are not disclosed to third parties unless such disclosure is required by law or is directly necessary for the fulfillment of requirements.

All credit card details entered at checkout are transmitted securely to PayPal’s servers for processing and are not stored by BrandsGateway.

Rights of interested parties. - It is fully established that the customer has the option to exercise specific rights. The Customer may obtain: confirmation or otherwise of the existence of data concerning them, even if not yet recorded;

Information about the origin of personal data, the purpose and methods of processing it, and the basis of processing in cases where this is done using electronic instruments;

Indication of the identity of the Owner and the Person Responsible, and the persons or categories of persons to whom the personal data may be communicated or who have access to them;

The cancellation, transformation into an anonymous form, or blocking of data processed in violation of the law, as well as updating, rectification or, where interested, integration of data unless it is impossible or involves the use of disproportionate means. The Customer may also object, for legitimate reasons, to the processing of personal data about them, even if it relates to the purpose of the data collection. The Customer can also object to the processing of personal data for sending advertising material or otherwise, aimed at carrying out market research and business communications.

Article 8 – Applicable Law and Competent Jurisdiction

Estonian law has regulated information within this sales contract.

District courts of Estonian will handle any disputes concerning the validity, interpretation, or execution of this contract.

Article 9 – Modifications

Gateway Holdings ÖU has the right to edit this document without notice at any time, and as a result, will be effective from the date of its publication at www.brandsgateway.com

Article 10 – Complaints

Any complaints must be submitted in writing to BrandsGateway’s registered office at Narva mnt 5, 10117 Tallinn, Estonia, or by email to [email protected]. Complaints will be handled in accordance with applicable Estonian and EU consumer protection laws.
